Coca-Cola’s Indian bottling business files for IPO; 99.75 crore shares up for sale
NEW DELHI: The Coca-Cola Company’s Indian bottling business, Hindustan Coca-Cola Holdings Ltd (HCCH), has initiated the process for a stock market listing by filing its draft IPO papers with the Securities and Exchange Board of India (Sebi). The proposed initial public offering (IPO) will involve the sale of up to 99.75 crore equity shares by promoter Hindustan Coca-Cola Overseas Holdings Pte Ltd, according to the draft red herring prospectus (DRHP) dated November 6. The issue will be entirely an offer for sale (OFS), which means HCCH will not receive any money from the IPO. All proceeds will go to the selling shareholder. The filing follows Coca-Cola’s statement in June that it was exploring a potential listing of HCCH in 2027. HCCH is the parent entity of Hindustan Coca-Cola Beverages (HCCB), the company’s Indian bottling arm.
HCCH’s beverage portfolio and distribution network

Who owns HCCH?
The Coca-Cola Company held a 60 per cent stake in HCCH through Hindustan Coca-Cola Overseas Holdings Pte Ltd as of the DRHP filing date. The remaining 40 per cent was owned by Jubilant Beverages Ltd, which became one of HCCH’s promoters in July 2025.The proposed listing also comes amid Coca-Cola’s global asset-light strategy, under which the beverage major has been divesting its bottling assets. India is its fifth-largest market globally. In 2024, the company transferred its bottling operations in Rajasthan, Bihar, the Northeast and parts of West Bengal to existing bottlers through franchise arrangements. These transactions generated $290 million (around Rs 2,420 crore) for Coca-Cola.Kandhari Global Beverages, SLMG Beverages and Moon Beverages were awarded the franchises.
